These Terms & Conditions apply to all business relationships, offers, orders, deliveries and services between Ger-Warenservice and its business customers.

These Terms & Conditions are intended exclusively for B2B transactions. Ger-Warenservice does not offer its sourcing and export services to consumers acting for private purposes.

Any conflicting or deviating terms of the customer shall only apply where expressly accepted by Ger-Warenservice in writing.

Ger-Warenservice provides B2B services related to the sourcing, coordination and export preparation of European cosmetic and personal care products.

Depending on the individual agreement, services may include product sourcing, supplier communication, availability checks, order coordination, preparation or coordination of commercial export documents and communication with logistics or freight service providers.

The exact scope of services is determined by the individual quotation, order confirmation or separate written agreement between Ger-Warenservice and the customer.

Unless expressly stated otherwise, quotations and product availability information provided by Ger-Warenservice are non-binding and subject to availability.

A binding contract is concluded when an order is expressly confirmed by Ger-Warenservice or when performance of the agreed service begins following mutual agreement.

Product images, descriptions, quantities, packaging information and other specifications may be based on information provided by manufacturers, suppliers or other business partners.

Product availability is subject to supplier availability, manufacturer supply, market conditions and the quantities requested by the customer.

Availability communicated before final order confirmation does not constitute a guarantee that the same products or quantities will remain available at a later date.

Minimum order quantities, case quantities, packaging units and other order requirements may vary depending on the product, supplier and destination market.

Prices are determined individually based on the products, quantities, sourcing requirements, service scope, destination and other relevant order factors.

The applicable prices, currency, payment schedule and payment method are specified in the respective quotation, invoice or individual agreement.

Unless otherwise agreed, additional costs such as freight, customs duties, import taxes, local fees, inspections, certifications or destination-specific charges are not included in the product price.

Delivery periods and estimated shipment times depend on product availability, supplier processing, order volume, documentation, freight capacity, customs procedures and the destination country.

Unless expressly confirmed as binding in writing, delivery dates and shipment periods are estimates only.

The specific shipping method, delivery arrangement and allocation of transport responsibilities shall be determined in the individual quotation, order confirmation or other contractual agreement.

Ger-Warenservice may support the coordination and preparation of export-related commercial documentation within the agreed scope of services.

Unless expressly agreed otherwise, the customer remains responsible for verifying and complying with all import, registration, product approval, labelling, licensing, tax and regulatory requirements applicable in the destination country.

Requirements may vary between countries and may change over time. The customer is responsible for ensuring that the ordered products may legally be imported, marketed and distributed in the intended destination market.

Business customers must inspect delivered goods promptly after receipt for visible damage, shortages and obvious defects.

Complaints should be submitted without undue delay and should include sufficient information and documentation to identify and assess the issue, including order information and, where appropriate, photographs or transport documentation.

Statutory inspection and notification obligations applicable to merchants remain unaffected.

As Ger-Warenservice operates exclusively in the B2B sector, consumer withdrawal rights do not apply to business transactions.

Cancellation or modification of a confirmed order requires prior agreement. Whether cancellation is possible depends on the status of sourcing, supplier commitments, product procurement, documentation and shipment preparation.

Products sourced specifically for an individual customer order may be excluded from voluntary return or cancellation once procurement has begun, subject to applicable law and the individual contractual agreement.

Where required for the fulfilment of an order, Ger-Warenservice may coordinate with suppliers, freight forwarders, carriers, customs service providers and other professional third parties.

Services performed independently by third-party providers may be subject to separate contractual terms and operational conditions.

Ger-Warenservice shall be liable in accordance with applicable statutory law. Any limitation or exclusion of liability applies only to the extent legally permissible.

Ger-Warenservice is not responsible for delays or failures caused by circumstances outside its reasonable control, including supplier interruptions, transport disruptions, customs delays, regulatory measures, force majeure events or comparable external circumstances.

Mandatory statutory liability, including liability for intentional conduct and other liability that cannot legally be limited or excluded, remains unaffected.

All trademarks, brand names, product names and logos displayed or referenced remain the property of their respective rights holders.

Reference to a brand or product does not imply ownership of the respective trademark by Ger-Warenservice.

Content, text, graphics and original website materials created for Ger-Warenservice may not be reproduced or commercially used without prior permission, unless permitted by applicable law.

Commercial information exchanged in connection with quotations, sourcing requests and business negotiations should be treated confidentially where its confidential nature is evident or has been expressly communicated.

This may include pricing information, supplier-related information, sourcing details, product lists and individual commercial arrangements.

Personal data is processed in accordance with applicable data protection law and the Ger-Warenservice Privacy Policy.

The contractual relationship shall be governed by the applicable laws of the Federal Republic of Germany, subject to any mandatory legal provisions that apply to the individual transaction.

Any agreement regarding jurisdiction or place of performance shall apply only where legally permissible and where agreed or determined in accordance with applicable law.

Individual agreements made between Ger-Warenservice and the customer take precedence over these general provisions where they expressly regulate the same subject matter.

If any provision of these Terms & Conditions is or becomes invalid or unenforceable, the validity of the remaining provisions shall remain unaffected, subject to applicable law.
